Kitt AI Terms of Service

• "Platform" means the Kitt AI clinical platform, including the Kitt Clinician web application and Kitt Companion client application.
• "Kitt Clinician" means the practitioner-facing application used for clinical documentation, treatment planning, and practice management.
• "Kitt Companion" means the client-facing application through which clients access treatment plans, exercise prescriptions, and recovery support.
• "Service" means all services provided by us through the Platform.
• "User" means any practitioner or client who accesses or uses our Platform.
• "Content" means any information, text, audio, graphics, or other materials uploaded, generated, downloaded, or appearing on the Platform.

Eligibility:

• You must be a licensed healthcare practitioner in Australia to register for and use Kitt Clinician.
• Integration with practice management systems (Nookal, Cliniko) is optional and not required to use the Platform.
• Kitt Companion access is provided to clients by their practitioner and does not require independent eligibility.

Account Security:

• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorised use of your account.
• You are responsible for all activities that occur under your account.

Licence:

• We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform in accordance with these Terms.
• This licence is for your professional use only and cannot be shared with other practitioners.

Restrictions:

• You may not modify, distribute, sell, lease, or create derivative works of the Platform.
• You may not reverse engineer or attempt to extract the source code.
• You may not use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
• You may not use the Platform to process client data without appropriate consent.

• All intellectual property rights in the Platform and its content are owned by us or our licensors.
• The Kitt AI name, logo, and all related names, logos, product and service names, designs, and slogans are our trademarks.
• You may not use these marks without our prior written permission.
• You retain all rights to the client data you process through the Platform.

• You are responsible for ensuring that all information processed through the Platform complies with Australian privacy laws, including the Privacy Act 1988 (Cth).
• You must review all generated content for accuracy before using it for client communication.
• You must obtain appropriate client consent before processing their health information through the Platform, including any data shared via Kitt Companion.
• You are responsible for maintaining compliance with all professional and ethical standards applicable to your healthcare practice.

Disclaimer:

• The Platform is provided "as is" and "as available" without warranties of any kind.
• We do not warrant that the Platform will be uninterrupted, error-free, or secure.
• We do not warrant the accuracy of any content generated by the Platform.

Limitation of Liability:

• To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid us (if any) for the Platform in the 12 months preceding the claim.
• Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.

• We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms.
• You may terminate these Terms at any time by closing your account or ceasing to use the Platform.
• Upon termination, your right to use the Platform will immediately cease.
• All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

• These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia.
• Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Queensland, Australia.
• You agree to first attempt to resolve any dispute informally by contacting us before initiating any formal proceedings.

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Platform.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
• Assignment: You may not assign these Terms without our prior written consent, but we may assign these Terms without restriction.
